These Terms of Service govern your use of the Ethereal Elegance Events website and your engagement with our event planning, design, decor, production, coordination, consultancy, and related services. By using our website, submitting an enquiry, requesting a plan, approving a proposal, paying a deposit, or engaging our team, you agree to these terms.
A signed proposal, service agreement, invoice, statement of work, event brief, or written confirmation may include additional terms specific to your event. If there is a conflict between these general terms and a signed event agreement, the signed event agreement will control for that event.
We provide luxury event planning and production services, including weddings, corporate events, intimate celebrations, destination events, decor and florals, entertainment and AV coordination, catering coordination, vendor sourcing, event styling, guest logistics, budget planning, and day-of management.
The exact scope of services will be stated in your proposal or agreement. Services not included in the agreed scope, including additional design rounds, extra site visits, expanded guest management, rush work, new venues, additional event days, or significant concept changes, may require additional fees.
Information submitted through our website or during consultations must be accurate and complete to the best of your knowledge. Budgets, guest counts, dates, venues, and requirements help us prepare realistic recommendations and pricing.
A consultation, estimate, or proposal does not reserve your event date unless we expressly confirm the booking in writing and any required retainer, deposit, or booking fee has been received. Proposals are valid for the period stated in the proposal. If no period is stated, a proposal is valid for fourteen days from the date issued.
Visual concepts, budgets, timelines, supplier recommendations, mood boards, and planning documents prepared by us remain our work product unless otherwise agreed in writing. They may not be copied, shared with unrelated third parties, or used to source services independently without our consent.
A booking is confirmed only when we accept your event in writing and receive the required payment. You are responsible for providing timely decisions, accurate event information, guest details, venue rules, permits, approvals, supplier contacts, access requirements, and any restrictions that may affect planning or delivery.
You must nominate an authorized decision-maker for the event. We are entitled to rely on instructions, approvals, and changes provided by that person or by anyone you reasonably present as authorized to act for the event.
You are responsible for ensuring guests, family members, employees, brand representatives, venue staff, and third-party suppliers cooperate with agreed event rules, safety requirements, timelines, and venue restrictions.
Fees, deposits, retainers, instalments, due dates, taxes, and payment methods will be stated in your proposal, invoice, or agreement. Unless stated otherwise, deposits, retainers, booking fees, design fees, and payments for work already performed or committed are non-refundable.
Supplier fees, venue fees, permits, rentals, transport, accommodation, meals, crew costs, production costs, and other event expenses may be billed directly by suppliers or collected by us for onward payment. Where we pay third parties on your behalf, funds must be received before we are required to commit or release payment.
Late payments may delay planning, supplier confirmations, production, delivery, or setup. We may pause work, withhold deliverables, cancel supplier commitments, or decline event execution if required payments are not received on time.
Event changes must be submitted in writing. Changes to date, venue, guest count, scope, design, supplier requirements, logistics, or program timing may affect fees and availability. We will advise you where a change requires revised pricing, additional time, supplier approval, or a new agreement.
If you cancel or postpone an event, you remain responsible for non-refundable fees, work performed, supplier charges, committed expenses, purchased materials, custom items, cancellation fees, and any other amounts stated in your agreement. Deposits and retainers compensate us for reserving the date, declining other work, planning time, and administrative costs.
Postponed events are subject to our availability and supplier availability. Pricing may change if supplier rates, venue costs, tax requirements, labour costs, transport costs, or event scope change before the new date.
We may recommend, coordinate, or manage third-party vendors, including venues, caterers, florists, photographers, videographers, entertainers, AV teams, rental companies, transport providers, security providers, and accommodation partners. Unless expressly stated otherwise, third-party vendors are independent businesses and are responsible for their own services, staff, equipment, insurance, permits, and performance.
Vendor contracts, deposits, cancellation policies, overtime rules, damage policies, and service terms may apply in addition to our terms. You are responsible for reviewing and complying with vendor terms where you contract directly with them.
If you require us to work with vendors we did not recommend, we may request additional coordination fees or decline responsibility for delays, quality issues, safety issues, or non-performance caused by those vendors.
You are responsible for securing the venue unless venue sourcing is expressly included in our scope. You must disclose venue rules, access times, loading restrictions, noise limits, curfews, power availability, insurance requirements, security requirements, fire safety rules, and any permits or approvals needed.
We may refuse or stop work where conditions are unsafe, unlawful, materially different from what was disclosed, or likely to endanger guests, staff, vendors, property, or equipment. Safety decisions may be made on site where immediate action is needed.
Outdoor, destination, and remote events require contingency planning. Weather, access, terrain, power, transport, government action, local restrictions, and supplier availability can affect setup and delivery. We will plan responsibly, but conditions outside our control may require changes.
Guest lists, seating plans, dietary information, allergies, accessibility needs, accommodation details, and transport schedules must be provided by the deadlines we set. Late or inaccurate information can affect catering, seating, staffing, timing, and guest experience.
We are not responsible for guest misconduct, damage caused by guests, unauthorized changes requested by guests, or delays caused by guests, family members, company representatives, security restrictions, or venue access issues.
Our proposals, concepts, designs, sketches, plans, mood boards, timelines, checklists, supplier lists, budgets, layouts, written materials, and original creative work are owned by Ethereal Elegance Events unless otherwise agreed in writing.
You may use final approved materials for your event. You may not reproduce, resell, publish, adapt, or use our concepts or planning materials for another event, business, supplier briefing, or competing service without our written permission.
Unless your agreement states otherwise, you allow us to photograph, record, and document event decor, production, setup, details, and completed spaces for internal records, vendor coordination, portfolio use, social media, marketing, case studies, and proposals.
If confidentiality, guest privacy, brand approval, media embargoes, or no-publication requirements apply, you must inform us in writing before the event. We will follow written restrictions that we have accepted and shared with relevant team members or vendors.
You are responsible for securing any permissions required from venues, brands, performers, speakers, guests, employees, or other participants for photography, filming, publication, or live streaming where those permissions are not part of our agreed scope.
You may use our website for lawful personal or business enquiries related to event services. You must not misuse the site, attempt unauthorized access, interfere with security features, scrape content at scale, submit false information, upload malicious code, impersonate another person, or use the site to infringe the rights of others.
Website content, including text, imagery, layout, logos, graphics, and design elements, is owned by us or licensed to us. You may not copy, reproduce, distribute, modify, or commercially exploit website content without permission.
We work carefully to provide accurate information, reliable planning, and high-quality event execution. However, estimates, timelines, availability, inspiration content, and website information are provided for planning guidance and may change based on supplier availability, client decisions, weather, venue requirements, market prices, or circumstances outside our control.
To the fullest extent permitted by law, Ethereal Elegance Events will not be liable for indirect, incidental, special, consequential, punitive, or exemplary losses, including loss of profit, loss of business, reputational harm, emotional distress, or loss arising from third-party vendor actions, venue restrictions, weather, guest conduct, government action, or events outside our reasonable control.
Where liability cannot be excluded, our total liability for a claim related to our services will be limited to the amount paid to us for the specific service giving rise to the claim, excluding third-party vendor costs, venue fees, pass-through expenses, taxes, and reimbursements.
We are not responsible for delay or failure caused by circumstances beyond our reasonable control, including severe weather, flooding, fire, power failure, road closure, illness, epidemic, pandemic, government restrictions, civil unrest, strikes, supplier failure, venue closure, transport disruption, security incidents, or acts of God.
If a force majeure event affects your event, we will work with you in good faith to adjust plans where reasonably possible. Additional costs, supplier fees, postponement charges, and non-refundable expenses remain your responsibility unless otherwise agreed in writing.
These terms are governed by the laws of Kenya, unless your signed agreement states otherwise. The parties will first try to resolve disputes through good-faith discussion. If a dispute cannot be resolved informally, it may be handled through the courts or other dispute resolution process available under applicable law or stated in your event agreement.
We may update these Terms of Service from time to time. The updated version will be posted on this page with a revised date. Changes apply to website use from the date posted and to future services unless otherwise agreed in an existing signed contract.
